Introduction
These Terms of Service (“Terms”) are a binding agreement between Gem Matchmaking, Limited Liability Company d/b/a Love Notes By Rachel (“Gem Matchmaking,” “we,” “us,” or “our”) and each customer, client, or member (“you,” “your,” “Member,” or “Members”). These Terms govern your access to and use of our services, websites, member portal, events, and related offerings (collectively, the “Services”). By registering for, accessing, or using the Services, you agree to these Terms, the Service Agreement, and our Privacy Policy (collectively, the “Agreements”). If you disagree, please do not use the Services. We reserve the right to update these Terms at any time, in our discretion. Changes take effect upon posting to our website or upon receipt of notice by email or through the member portal. Your continued use after notice constitutes acceptance. Please review periodically.
1) Scope; Eligibility; Competitor Access
Scope: These Terms describe the Services Gem Matchmaking provides and the conditions under which we offer them. Eligibility: You must be legally capable of entering a contract and eligible to use the Services under the Agreements. Prohibited Access: You are not permitted to access the Services for monitoring, benchmarking, or competitive analysis. Direct competitors are prohibited from accessing the Services without our prior written consent.
2) Account Registration & Security
You represent and warrant that all registration information you submit is true, accurate, and complete, and that you will promptly update such information as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you suspect unauthorized use, notify us immediately. We implement reasonable safeguards, but cannot guarantee absolute security.
3) Acceptable Use & Member Conduct
You will not: (a) use the Services for commercial solicitation or advertising to other Members without written consent; (b) disclose Confidential Information or private Member information and you will protect it; (c) impersonate any person or entity or provide false or misleading information (including identity, age, marital, residence, financial, or professional status); (d) upload/provide content you do not own; (e) data‑mine, scrape, crawl, or index the Services; introduce malware; or hack/interfere with networks; (f) stalk, harass, intimidate, threaten, bully, or engage in harmful conduct toward any Member or Gem Matchmaking staff/contractors; (g) publish or share confidential Member details (including to social groups such as “Are We Dating the Same Guy”) or attempt to obtain personal data without consent; (h) request or connect on social media without prior permission; (i) claim or imply our endorsement without written consent; (j) solicit money/funds/people or promote scams; (k) forge headers/identifiers; (l) modify, translate, sublicense, or create derivative works of the Services, or assist others; (m) fail to communicate reasonably with your matchmaker, repeatedly refuse aligned matches, exhibit problematic availability, or behave inappropriately; (n) fail to give at least 24 hours’ notice to cancel or reschedule a date coordinated by us. You agree to review and follow our Safety Practices, provide honest feedback about introductions and experiences, and disclose any information that may impact our ability to provide the Services. Indemnity: To the extent permitted by law, you agree to indemnify, defend, and hold harmless Gem Matchmaking, our affiliates, and our/officers, directors, agents, and employees from claims and expenses (including reasonable attorneys’ fees) arising from your use of the Services or breach of these Terms.
4) Enforcement
If, in our sole discretion, you violate these Terms, our rules, or act in a way that may harm Gem Matchmaking or our community, we may: (a) warn you; (b) suspend or terminate your account or subscriptions without refund; (c) cooperate with law enforcement and share relevant content; and/or (d) pursue other remedies. If services are terminated for these reasons, you forfeit unused Services and are not entitled to a refund.
5) Criminal & Identity Screening; Disclaimers
We conduct background checks on Members using third‑party resources. These screenings are not consumer reports under the Fair Credit Reporting Act (FCRA) and may be limited to publicly available records. We exclude individuals with certain convictions (e.g., sex offenses, theft, violent or repetitive non‑violent crimes). Background checks are not foolproof; not all jurisdictions or databases are complete or current. We reserve the right to conduct screenings at any time (including sex offender registry searches). You authorize us to conduct such screenings and to act on results, including revoking access or terminating your account without refund. Gem Matchmaking is not a “consumer reporting agency,” and our screenings are not “consumer reports.” Safety Reminder: You are solely responsible for your communications and interactions on and off the Service. We cannot guarantee the safety or compatibility of our services. If you are in immediate danger, call 911.
6) Intellectual Property; Profiles & Sharing
We may review profiles within our database. Matchmakers may share Member profiles (including photos and videos) with other Members and, at times, non‑members for introduction purposes. We do not disclose phone numbers, email addresses, physical addresses, or social media handles without consent. All Service content is owned by Gem Matchmaking and protected by applicable IP laws. You may not remove or alter proprietary notices.
7) Services; Packages; Payments
We offer membership levels and additional paid services. A Start‑Up fee may be required to begin pre‑approval. Memberships are monthly subscriptions. You authorize us (or our processors, such as Stripe) to charge your payment method on file on due dates without additional notice. We do not store card details unless you explicitly consent, and we maintain PCI‑compliant measures. Processor terms apply. Pricing may vary and be subject to promotions or feature/payment testing. We reserve the right to limit or discontinue offerings, impose promotional conditions, refuse service, or block transactions. We will notify you of price changes in advance. If you do not accept, please cancel before the renewal date. Free trials convert to paid subscriptions unless canceled before the trial ends; your payment method will be charged upon conversion.
8) Matching Process & Criteria
Search Radius & Age Range: Standard search radius is up to 100 miles from Annapolis, MD 21401, with a typical ten‑year age range near your age and a maximum age difference of 20 years. Screening: We do not screen for alternative relationship preferences, detailed sexual preferences beyond gender/orientation, precise body measurements (beyond general height/body type), personality tests, astrology, ceremonial/divinatory practices, or granular professional/education distinctions beyond degree level or broad categories. Presentations: We describe the candidate and alignment with your criteria and share approved photos/videos where applicable. If a candidate reasonably reflects your criteria, unreasonably withholding consent may forfeit that match.
9) Cancellations, Refunds, Pauses
Matchmaking Subscription (Monthly): All sales are final and non‑refundable. Other Services: A $50 non‑refundable deposit applies to appointment bookings; credited toward service; charged for cancellations, reschedules, or no‑shows within 24 hours. The remaining balance is charged after the service is completed. All sales are final; we will work with you to find solutions where possible. Pausing: You may pause up to two times per year. Pauses are not automatic. Accounts that have been paused for over two consecutive years are closed; reopening requires a written request and approval. Cancellation Policy: You may cancel at any time and continue using the Service through the end of the paid period, but no prorated or full refunds will be provided. Cancellation does not automatically remove your profile—submit a written request to terminate your account. Successful Matching: If you enter an exclusive Romantic Relationship, you may request cancellation or pause; documentation (e.g., testimonial, video, photo, anonymized story, confirmation) may be required.
10) Events; Photo/Video; Media Opt‑Out
Members may attend events (member and non‑member). Venue refund policies apply. We may photograph/video events to promote our services; such content is our IP. You may opt out of being photographed/recorded at events. Event rules include no harassment, stalking, bullying, or unauthorized photography or recordings; no unapproved guests.
11) No Guarantees; Limitation of Liability
We do not guarantee a specific number/frequency/timeline of matches, nor do we guarantee that you will find a partner. Outcomes vary by geography, availability, criteria, and willingness to adjust. We are not responsible for member/non‑member actions, conduct, messages, in‑person interactions, unauthorized account access, technical issues, or delays. To the maximum extent permitted by law, Gem Matchmaking shall not be liable for any damages (direct, indirect, incidental, consequential, special, exemplary, or punitive), or any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to the Services or interactions with members/non‑members. In jurisdictions that do not permit certain limitations, our aggregate liability shall not exceed US$100.
12) Rescheduling & Missed Dates
You must provide at least 24 hours’ notice to reschedule or cancel a date arranged by us. Repeated failures may result in suspension or termination of membership.
13) Termination
We may suspend or terminate your membership without refund if you repeatedly refuse aligned introductions, fail to participate, exhibit problematic availability, provide false information, relocate to an area we cannot serve, behave inappropriately toward staff/community members, or otherwise violate any of our Agreements.
14) Dispute Resolution; Arbitration
If a dispute arises, the parties shall first attempt to resolve it through good-faith negotiation and mediation administered by the American Arbitration Association under its Commercial Mediation Procedures. If unresolved, the dispute proceeds to binding arbitration. The initiating party is responsible for expenses incurred by both parties during arbitration, unless otherwise determined to be permitted by law.
15) Additional Services (All Sales Final; 24‑Hour Policy)
Dating Coaching: Guidance and skills—not therapy or medical/mental health services. Coaches are not licensed mental health providers. Seek qualified professionals for therapeutic needs. Coaching does not replace legal/financial/medical advice; all decisions are yours.
16) Getting Started; Membership Approval
Membership Approval: Not guaranteed; approval is at our sole discretion after signup, review, and required screenings.
Background Check & Social Media Review: Required to become a Member. After approval, we schedule a Discovery Meeting.
17) Communication; Notices; SMS Consent
We communicate via email, phone, SMS/text, and member portal about services, match presentations, changes, offers, events, and promotions. By registering, you consent to receive text messages and calls; standard rates apply. To opt out of SMS, reply “STOP.” Please notify us if you change the mobile number associated with your account. We will only communicate with you or your authorized representative (written authorization required).
18) Safety Practices & Reporting (Summary)
We prioritize safety, but cannot guarantee it. Exercise caution when communicating off‑platform or meeting in person. Do not share sensitive personal information or send money. Do not disclose home/work address prematurely. Trust your instincts; end any interaction that makes you feel unsafe. If in danger, call 911. Report concerns to lovenotesbyrachel@gmail.com.
19) Illegal & Unauthorized Use (Examples)
Prohibited activities include harvesting emails/usernames, embedding/framing without permission, systematic scraping/compiling, circumventing security, misleading others, attempting to obtain user passwords, and any fraudulent, abusive, harmful, unlawful, or illegal use. We may take legal action and/or refer matters to law enforcement.
20) Success Stories; Surveys; Marketing
We may invite you to participate in surveys, testimonials, or marketing features where you share your experiences with a successful match. We may request a testimonial or anonymized story, subject to your permissions and our Privacy Policy.
21) Disclaimers; No Warranties
Except as expressly stated, the Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
22) Governing Law
These Terms are governed by the laws of the state in which Gem Matchmaking operates, without regard to conflict-of-law principles, and subject to the dispute process outlined in Section 14.
